Maplesoft Subscriptions License Agreement (“Supplemental Subscription Agreement”)

THE FOLLOWING TERMS AND CONDITIONS APPLY TO ALL SUBSCRIPTION LICENSE SOFTWARE PRODUCTS BY MAPLESOFT, A DIVISION OF WATERLOO MAPLE INC. (“MAPLESOFT”), TO YOU (“YOU” OR “YOUR”, WHEN USED IN REFERENCE TO YOU) AS SET OUT IN THE ORDER CONFIRMATION ISSUED TO YOU BY MAPLESOFT OR BY A MAPLESOFT AUTHORIZED RESELLER, BEING ONE OF THE PARTNERS LISTED ON MAPLESOFT’S WEBSITE AT HTTP://WWW.MAPLESOFT.COM/CONTACT. NOTICE: THIS IS A CONTRACT.

BEFORE YOU COMPLETE THE INSTALLATION AND ACTIVATION PROCESS, YOU MUST CAREFULLY READ THIS SUPPLEMENTAL SUBSCRIPTION AGREEMENT AND THE AGREEMENTS AND POLICIES REFERENCED HEREIN. BY CLICKING “I AGREE” AND/OR CLICKING THE APPLICABLE BUTTON TO COMPLETE THIS PROCESS, YOU (BEING EITHER AN INDIVIDUAL OR AN ENTITY). IN THE LATTER CASE YOU ACKNOWLEDGE THAT YOU ARE AN AUTHORIZED REPRESENTATIVE COMPLETING THIS PROCESS ON BEHALF OF AN INDIVIDUAL OR YOUR INSTITUTION) CONSENT TO THE TERMS AND CONDITIONS OF THIS SUPPLEMENTAL SUBSCRIPTION AGREEMENT AND THE AGREEMENTS AND POLICIES REFERENCED HEREIN AND YOU AGREE TO BE BOUND BY THIS SUPPLEMENTAL SUBSCRIPTION AGREEMENT AND THE AGREEMENTS AND POLICIES REFERENCED HEREIN. IF YOU DO NOT WISH TO BECOME A PARTY TO THIS SUPPLEMENTAL SUBSCRIPTION AGREEMENT AND THE AGREEMENTS AND POLICIES REFERENCED HEREIN NOR DO YOU WANT TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS, CLICK THE APPROPRIATE BUTTON TO CANCEL THIS PROCESS, DO NOT INSTALL, ACTIVATE OR USE THE SOFTWARE (INCLUDING ANY ACCOMPANYING WRITTEN MATERIALS).

1. Interpretation

This Supplement Subscription Agreement outlines the supplemental terms and conditions in addition to those which are outlined in the Maplesoft Software License Agreement (“Main License Agreement”) found at https://www.maplesoft.com/documentation_center/Maplesoft_EULA.pdf. YOU hereby agree to be bound by the Main License Agreement. If there are any discrepancies between this Supplement Subscription Agreement and the Main License Agreement, as it relates to the Subscription License (defined herein), this Supplement Subscription Agreement shall prevail. All capitalized terms herein that are not defined shall import their definition from the Main License Agreement.

2. Subscription Licenses

1. This Supplement Subscription Agreement serves to add a license option to Section 5 of the Main License Agreement which consists of subscription license as follows:
2. Subscription Licenses: YOU may purchase a license to use the Software on a subscription basis for a specific reoccurring term (a “Subscription License”). A Subscription License shall entitle YOU to use the most up-to-date version of the Software for the period of time in which YOU are a subscriber (“Subscription Period”) for that Software, unless and until terminated by Maplesoft in accordance with this Supplemental Subscription Agreement and the Main License Agreement. YOU understand and agree that the Elite Maintenance Program for each Subscription License is included in the price charged for the Subscription License during the Subscription Period.
3. The Main License Agreement identifies various permitted License Options including but not limited to Commercial and Academic License Options. The Subscription License shall be made available within the License Options identified on the Maplesoft webstore or an applicable Order Confirmation.

3. Renewals and Cancellations

1. YOUR Order Confirmation shall identify the initial period in which the Subscription License is purchased and shall also identify the renewing cadence of the Subscription License. YOU will receive a reminder notice about YOUR upcoming renewal 30 days before YOUR renewal date.
2. Renewal payments will be processed using the payment method on file. YOU must ensure YOUR payment details are up to date to prevent service disruptions.
3. If the subscription price changes, we will notify YOU at least 30 days in advance of the renewal date.
4. To cancel a subscription, contact  Maplesoft Customer Service. No refunds or partial refunds are provided for cancellations made before the end of the Subscription Period prior to the next scheduled renewal date.

4. Fees and Payment Authorization

1. By providing payment details to Maplesoft or its third-party processors, YOU confirm that YOU are authorized to use the payment method and authorize Maplesoft to charge it for any Subscription License fees.
2. If YOU opt for a recurring Subscription License, YOU authorize Maplesoft to charge YOUR payment method for subsequent payments. Notify Maplesoft promptly of any changes to YOUR payment information. Applicable sales taxes may be added to Subscription License fees.
3. Subscriptions are non-cancelable during the term except as described above, and payments made are non-refundable.
